Corporate and Business Law Inc. •
Corporate Counsel: We act as outside
corporate counsel for our business clients that do not
have an in-house law department. We advise them on matters
such as employment issues; negotiating and preparing contracts,
including employment agreements, shareholder and buy-sell
agreements, joint venture and strategic alliance agreements,
franchise agreements and intellectual property rights
agreements and licenses; real estate purchase or lease
transactions; and securing capital through loans or investment
transactions. We also assist our clients with regulatory
matters and litigation.
• Project Counsel: We act as counsel
on specific projects as requested by our business clients
such as acquisition or sales transactions, negotiation
of contracts or dealing with other specific issues.
• Start-Ups: We assist entrepreneurs
and business owners in structuring their businesses to
maximize protection for the business owner and grow the
business. We assist business owners in securing capital
and form the appropriate business entity such as a corporation
or limited liability company. We also assist with other
facets of starting the business such as preparing contracts,
negotiating real estate leases or purchase transactions
and preparing and filing applications for business licenses
and permits.
• Non-Profits: We act as counsel
for non-profit organizations or persons or groups that
are seeking to establish non-profit organizations. We
set up the company and file the application for tax-exemption
and provide on-ging representation as needed by the group.
Mergers
and Acquisitions
We represent our clients in all aspects of merger or acquisitions
transactions, commencing with the negotiation of the deal,
to the due diligence, preparation of the purchase or sale
agreement, obtaining regulatory approvals and the closing
and post-closing transactions. We help our clients to structure
transactions to minimize taxes and protect against liabilities.
Litigation
Our litigation practice is tailored to handling the litigation
needs of our business clients. Our firm has experience in
state and federal courts and in arbitration proceedings.
We have experience in handling complex commercial disputes
and represent business clients in a variety of matters,
including employment termination lawsuits, contractual disputes,
unfair competition claims, real estate or landlord-tenant
disputes and trademark infringement.
Insurance
We provide services that address the regulatory needs of
insurance entities including compliance with state regulatory
requirements, licensing issues and policy filings. We also
provide advice on coverage issues.
Intellectual
Property
We advise our clients on intellectual property issues
and we prepare trademark filings and intellectual property
rights agreements and licenses. We also represent our
clients in resolving intellectual property disputes, including
litigation of such claims.
Real
Estate
We advise our clients in transactions relating to the purchase
or lease of real estate, including negotiation of the transaction,
drafting of contracts and closing and post-closing transactions.
Immigration
Our immigration practice complements the services we offer
to our domestic and international business clients. We assist
them in meeting the business immigration needs of investors,
corporate personnel and professionals. Our approach to immigration
visas is strategic, focusing not on the visa per se, but
the development of a successful business operation in the
United States for the foreign investor. We assist the client
in determining which visa will be most appropriate and will
file the visa application.
